On June 11^th LTRY announced the signing of an amended Stock Purchase Agreement for its planned acquisition of Nook Holdings Limited, a pioneering sports, health and wellness incubator based in Dubai, United Arab Emirates.

The acquisition, valued at approximately $2.5 million USD, is an all-cash deal, underscoring the LTRY strategic commitment to global growth and innovation in sports and wellness. Upon completion, LTRY will control ninety percent (90%) of Nook. The deal is expected to close on or before June 30, 2025.

Founded by Ravi Bhusari, Nook has become a cornerstone of the UAE's sports and wellness ecosystem. Over the past five years, it has fulfilled its ongoing mission to support startups and small businesses establish operations, obtain licenses, register for VAT and gain community support.
